LUKOIL Elects New Board

LUKOIL held an extraordinary general shareholders meeting in Moscow. The meeting was convened at the request of the shareholders who own at least 10 percent of the corporate stock.
The list of shareholders entitled to participate in the meeting was set on Dec. 9, 2004.

The agenda included:
1. Early termination of powers of all members of LUKOIL’s board of directors and election of the new board.
2. Approval of amendments and addenda to LUKOIL’s Charter.

The newly elected board of directors includes:

1. Vagit Alekperov, president of LUKOIL
2. Mikhail Berezhnoi, general director of the LUKOIL-GARANT non-state pension fund
3. Valery Graifer, general director of RITEK
4. Oleg Kutafin, rector of the Moscow State Academy of Law
5. Ravil Maganov, first vice president of LUKOIL
6. Richard Matzke, former vice chairman of Chevron Corp.
7. Kevin Meyers, president of Russia/Caspian Region, ConocoPhillips
8. Sergei Mikhailov, general director of Management-Consulting LLC
9. Nikolai Tsvetkov, chairman of AKB AVTOBANK- NIKoil
10. Igor Sherkunov, chairman of the board of directors of Investitsionnaya Gruppa Kapital CJSC
11. Alexander Shokhin, president of the State University – Higher School of Economics

The shareholders approved the amendments and addenda to the Charter of LUKOIL, which enhance the role of minority shareholders in decision-making process in connection with major transactions with the company’s assets.

RITEK general director Valery Graifer was re-elected chairman of the newly elected board.
